Quixpro generates, qualifies, and delivers leads to businesses.

Specific commercial terms, including:

• Lead criteria

• Lead pricing

• Lead volume

• Delivery method

• Payment terms

• Replacement or credit policies

• Any other agreed requirements

may be set out in a separate order, proposal, invoice, or written agreement between Quixpro and the client.

If a written agreement conflicts with these Terms, the written agreement will control for that specific engagement.

Eligibility

You must be at least 18 years old and authorized to act on behalf of the business purchasing our services.

Our services are intended for business use.

Fees and Payment

Pricing and payment terms are established between Quixpro and each client.

Unless otherwise agreed in writing, charges for leads are non-refundable except where a written replacement or credit policy applies.

You agree to pay all amounts when due.

We reserve the right to suspend or terminate services for unpaid balances.

Lead Delivery

Leads are delivered according to the criteria and delivery terms agreed with the client.

Quixpro does not guarantee that any particular lead will:

• Respond to your outreach

• Submit an application

• Qualify for your product

• Be approved

• Close

• Fund

• Generate revenue

Your results depend on factors including your products, underwriting, sales process, follow-up, timing, and market conditions.

Client Responsibilities

You are responsible for how you use and contact leads provided by Quixpro.

You agree to:

• Use leads only for lawful business purposes

• Follow all applicable privacy, telemarketing, messaging, advertising, and financial regulations

• Maintain any required licenses or registrations

• Handle lead information securely

• Not make misleading or deceptive claims

• Not use leads for unlawful or abusive purposes

You are responsible for ensuring that your communications and sales practices comply with all laws applicable to your business.

Lead Information

Lead information is provided for your use in connection with the products or services for which the lead expressed interest.

You may not sell, resell, redistribute, publish, or otherwise provide Quixpro leads to another party unless Quixpro has agreed to it in writing.

Intellectual Property

The Quixpro website, branding, content, graphics, software, and other materials are owned by Quixpro or its licensors.

You may not copy, reproduce, modify, distribute, or use our materials without our written permission.

No Guarantee of Results

Quixpro does not guarantee any particular number of applications, approvals, funded deals, sales, revenue, profit, or return on your investment.

Any examples, projections, or results shown on our website are illustrative unless specifically identified as actual results.

Disclaimer of Warranties

Our website and services are provided on an "as is" and "as available" basis to the fullest extent permitted by law.

We do not guarantee that the website or services will always be available, uninterrupted, error-free, or meet every particular requirement.

Limitation of Liability

To the fullest extent permitted by law, Quixpro will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, business, or opportunities arising from your use of our website or services.

To the fullest extent permitted by law, Quixpro's total liability relating to the services will not exceed the amount you paid Quixpro for the services giving rise to the claim during the three months immediately preceding the event giving rise to the claim.

Nothing in these Terms limits liability that cannot legally be limited or excluded.

Indemnification

You agree to defend, indemnify, and hold harmless Quixpro and its owners, employees, contractors, and agents from claims, losses, damages, liabilities, and expenses arising from:

• Your use of the leads

• Your communications with leads

• Your products or services

• Your violation of these Terms

• Your violation of applicable laws or regulations

• Your misuse of information provided through our services

Suspension and Termination

We may suspend or terminate your access to our services if you:

• Fail to pay amounts owed

• Violate these Terms

• Misuse leads

• Use our services unlawfully

• Engage in conduct that could create legal, regulatory, or reputational risk for Quixpro

Termination does not eliminate obligations that arose before termination.

Governing Law

These Terms are governed by the laws of the Province of Ontario and the applicable laws of Canada, without regard to conflict-of-law principles.

Any dispute relating to these Terms or the services will be subject to the applicable courts located in Ontario, Canada.

Changes to These Terms

We may update these Terms from time to time. Changes become effective when posted on this page.

Your continued use of the website or services after changes are posted constitutes acceptance of the updated Terms.
